These Terms of Service ("Terms") govern your use of the iDBQuery website (idbquery.com) and the iDBQuery web application (the "Service") provided by Intrazero ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. Account

You must be at least 16 years old (13 in jurisdictions where permitted with parental consent). You are responsible for the accuracy of the account information you provide and for keeping your credentials confidential. You are responsible for all activity under your account.

2. Acceptable use

You agree not to:

Reverse-engineer, scrape, or otherwise circumvent the Service.
Connect a data source you are not authorized to access.
Upload content you do not have the legal right to use.
Use the Service to violate the rights of others or any law.
Use the Service to send spam, malware, or unsolicited contact.
Probe, attack, or impair the Service or its infrastructure.

3. Your data, your control

You retain ownership of all data you connect or upload ("Customer Data").
You grant us a non-exclusive, worldwide license to host, process, cache, transmit, and display Customer Data solely to provide the Service to you and your authorized members.
We do not use Customer Data to train AI/ML models.
You are responsible for the legality of the Customer Data you connect, including obtaining any required consents from data subjects.

4. Privacy + Google API Services User Data Policy

Our handling of personal data is described in the Privacy Policy. iDBQuery's use and transfer to any other app of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

5. Service availability

We aim for high uptime but do not guarantee uninterrupted service unless explicitly committed under an enterprise SLA. The Service is provided as-is; planned and emergency maintenance may occur.

6. Fees and billing

The free tier is described on our pricing page. Paid plans bill on the schedule shown at checkout. Late payment may result in suspension. Fees are non-refundable except where required by law or expressly offered.

7. Third-party services

The Service integrates with third-party providers you choose (databases, Google Sheets, Microsoft Excel Online, Slack, BIM platforms, etc.). Use of those services is subject to their own terms; we are not responsible for their availability or actions. Disabling our access in any third-party service may impair related iDBQuery features.

8. AI / model output

iDBQuery uses generative AI to interpret your prompts, generate SQL, write summaries, and assemble dashboards. Model output may be inaccurate, incomplete, or misleading. You are responsible for reviewing and validating any output before relying on it for business or other consequential decisions.

9. Intellectual property

The Service, its software, design, and content (excluding Customer Data) are owned by Intrazero and licensed under these Terms. You may not copy, redistribute, or commercially exploit the Service except as expressly permitted.

10. Confidentiality

Each party will protect the other's non-public information using at least the same care it uses for its own confidential information, and only use it as needed to perform under these Terms.

11. Termination

You may delete your account at any time. We may suspend or terminate accounts that materially breach these Terms, with notice where reasonably possible. Upon termination, we will delete Customer Data within 30 days, except where retention is required by law.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Each party's total liability for direct damages will not exceed the fees paid by you to us in the 12 months preceding the claim, or USD 100 if no fees were paid.

14. Indemnity

You will indemnify and hold us harmless against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law.

15. Governing law

These Terms are governed by the laws of the United Arab Emirates (or the jurisdiction stated in your enterprise agreement, if any), without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email and an in-app banner at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
